These terms apply to every wholesale purchase from Fragrance Craft LLC ("The Fragrance Craft", "we"). Our website terms also apply where these terms don't cover something.
1. Eligibility
Wholesale accounts are for registered businesses that resell fragrance and have a shipping address in the 48 contiguous states or Washington, DC. Every applicant needs a valid resale certificate. Texas businesses provide a completed Texas Sales and Use Tax Resale Certificate (Form 01-339) with their Texas permit number. Businesses in other states provide their state's resale certificate or the multistate uniform sales and use tax certificate, with their state registration number. We review every application and may approve or decline at our discretion.
2. Pricing
Approved accounts receive our trade price list by email. Prices are in US dollars, exclude shipping, and may change with 14 days' notice. Confirmed orders are honored at the price confirmed.
3. Minimum orders
Order minimums and trade pricing are shared once your application is approved.
4. Ordering and payment
Orders are placed by email. We confirm availability and send a secure invoice. Payment by card or bank transfer is due before an order ships. We may offer net terms to established accounts in future, at our discretion.
5. Shipping
Orders ship by ground only, because fragrance is regulated for transport. Shipping is charged at our standard rate and shown on your invoice. Orders usually ship within three business days of payment.
6. Inspection, damage and shortages
Please inspect your delivery on arrival and report any damage, shortage or wrong item within 3 business days, with photos of the items and the shipping boxes. We'll replace, credit or refund the affected items. Otherwise the order is considered accepted.
7. Returns
Wholesale sales are final, except for damaged, defective or incorrect items reported under section 6. We don't accept returns of unsold stock.
8. Sales tax
We collect sales tax unless a valid resale certificate is on file. You're responsible for collecting and remitting tax on your own sales. We keep certificates on file for at least four years.
9. Product integrity and trademarks
Products are supplied in their retail packaging, as we receive them. Don't alter, repackage, decant, bundle or relabel them. Use brand and product names only to identify the products you sell; don't use brand logos or suggest that you, or we, are an authorized or official distributor of any brand. Brand names and trademarks belong to their respective owners, and no affiliation is implied.
10. Resale channels
You may resell in your own physical store and on your own website. Resale on third-party marketplaces, such as Amazon, Walmart Marketplace, eBay or TikTok Shop, needs our written consent first, because some brands restrict it.
11. Account closure
We may suspend or close an account for non-payment, a breach of these terms or misuse of brand trademarks.
12. Liability and law
Our liability for any order is limited to the amount paid for the products concerned. These terms are governed by the laws of the United States and of the state in which Fragrance Craft LLC is organized.
